　　買方未在規定的時間內開出信用證，賣方有權發出通知取消本合同，或接受買方對本合同未執行的全部或部份，或對因此遭受的損失提出索賠。

　　The Buyer shall establish a Letter of Credit before the above-stipulated time， failing which， the Seller shall have the right to rescind this Contract upon the arrival of the notice at Buyer or to accept whole or part of this Contract non fulfilled by the Buyer， or to lodge a claim for the direct losses sustained， if any.

　　須于貨到目的口岸之日起15天內提出，對所裝貨物所提任何異議于保險公司、輪船公司、其他有關運輸機構或郵遞機構所負責者，賣方不負任何責任。

　　In case of quality discrepancy， claim should be filed by the Buyer within 30 days after the arrival of the goods at port of destination， while for quantity discrepancy， claim should be filed by the Buyer within 15 days after the arrival of the goods at port of destination. It is understood that the Seller shall not be liable for any discrepancy of the goods shipped due to causes for which the Insurance Company， Shipping Company， other Transportation Organization /or Post Office are liable.

　　11. 由于發生人力不可抗拒的原因，致使本合約不能履行，部分或全部商品延誤交貨，賣方概不負責。本合同所指的不可抗力系指不可干預、不能避免且不能克服的客觀情況。 The Seller shall not be held responsible for failure or delay in delivery of the entire lot or a portion of the goods under this Sales Contract in consequence of any Force Majeure incidents which might occur. Force Majeure as referred to in this contract means unforeseeable， unavoidable and insurmountable objective conditions.

　　12. 仲裁(Arbitration)：

　　因凡本合同引起的或與本合同有關的任何爭議，如果協商不能解決，應提交中國國際經濟貿易仲裁委員會深圳分會。按照申請仲裁時該會當時施行的仲裁規則進行仲裁。仲裁裁決是終局的，對雙方均有約束力。

　　Any dispute arising from or in connection with the Sales Contract shall be settled through friendly negotiation. In case no settlement can be reached， the dispute shall then be submitted to China International Economic and Trade Arbitration Commission (CIETAC) ，Shenzhen Commission for arbitration in accordance with its rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.

　　13. 通知(Notices)：

　　所有通知用___文寫成，并按照如下地址用傳真/電子郵件/快件送達給各方。如果地址有變更，一方應在變更后___日內書面通知另一方。

　　Force Majeure：

　　Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.

　　18仲裁：

　　在履行協議過程中，如產生爭議，雙方應友好協商解決。若通過友好協商未能達成協議，則提交中國國際貿易促進委員會對外貿易仲裁委員會，根據該會仲裁程序暫行規定進行仲裁。該委員會決定是終局的，對雙方均有約束力。仲裁費用，除另有規定外，由敗訴一方負擔。

　　Arbitratio

　　All disputes arising from the execution of this agreement shall be settled through friendly consultations. In case no

　　ettlement can be reached, the case in dispute shall then be submitted to the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade for Arbitration in accordance with its Provisional Rules of

　　Procedure. The decision made by this commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.

　　篇三：外貿出口合同

　　________市____________年____月____日

　　________國________________市____外貿公司(下稱外貿公司)與____國______________市公司(下稱公司)簽定本合同如下：

　　第一條合同標的和價格

　　________外貿公司在____國界車上交貨條件下按本合同附件1向________公司提供商品。商品以美元計價，系____國界車上交貨價，包括包皮、包裝和標記的費用。

　　根據附件1由________國向____國供貨的總值為________美元。

　　________公司相應地在____國界車上交貨條件下按本合同附件2________向外貿公司提供商品。商品以美元計價，系____國界車上交貨價，包括包皮、包裝和標記的費用。

　　第二條供貨期

　　售方應在本合同附件規定的期限內交貨。售方有權按雙方商定的數量和金額提前供貨。購方有義務按合同規定接收貨物。

　　第三條結算

　　本合同所供貨物之價款，在易貨基礎上以美元計價，不通過銀行記帳。貨物交接后，由售方商務代表到購方結算，或將結算憑證寄給購方進行結算，并憑下列單據辦理：

　　1.發貨帳單2份;

　　2.蓋有發貨站戳記的鐵路運單副本1份;

　　3.明細單2份;

　　4.品質證明書1份。

　　購方接到上述單據核對無誤后給售方出以等值易貨貿易結算憑證予以確認。

　　第四條包裝

　　賣方應在包裝貨物時采取所有預防措施以保證貨物在儲存、海運、陸運、吊裝時完好無損。

　　第五條商品的品質和保證

　　所供商品的品質應由品質證明書加以確認，該證書確認商品品質符合生產國的技術條件和國家標準。

　　所供商品的品質性能應與標準樣品相一致，標準樣品在簽定合同時交給買方，在保證期內留存買方并在對供貨品質發生爭議的情況下供雙方使用。

　　保證期為供貨后9個月。

　　第六條索賠

　　購方可按________________(兩國貿易文件或協定)所規定的期限和程序在下列方面提出索賠。

　　1.貨物的數量

　　如貨物數量與明細單注明的數量不符，在包裝完整和沒有外部損傷(內部短缺)的情況下，購方有權憑檢驗證書提出索賠。如果貨物的發運系按發貨人確定的重量發出，而國境交接站雙方鐵路交接中發現不足，并不屬鐵路方面的過失，可根據雙方鐵路方面編制的商務記錄提出索賠。

　　2.貨物的質量

　　如貨物品質與合同規定不符時，可根據商品檢證或無利害關系的權威機關的代表參與制成的記錄提出異議。

　　如售方所供貨物的品質，不符合合同規定的'技術條件或與雙方確認的樣品不符時，購方有權要求售方或者削價、或者更換貨物。如果售方自收到異議之日起60天內不作最后決定，或不同意檢驗證書中確定的削價百分比時，則購方有權將品質不合格的貨物按售方提供的地址退給售方。售方應在本合同規定的異議審理期限內將退貨地址通知購方。

　　如果在每批貨物中發現殘次品占20%以上，收貨人則將退回全部貨物。由于質量原因退回貨物時所產生的全部費用由售方承擔。

　　在這種情況下，售方沒有免除向購方補發數量相同并符合合同規定的貨物責任。

　　在終點站檢驗貨物的數量和/或質量所需要的一切費用由購方承擔。

　　第七條不可抗力條款

　　由于發生不可抗力情況，而直接影響本合同的履行時，售方對本合同受不可抗力影響的部分義務或全部義務無法履行的責任不予承擔。經雙方協商，履行本合同義務的期限也可相應推遲。發生不可抗力情況一方應自災情結束之日起10日內將有關發生不可抗力的性質、毀壞程度及影響合同履行的情況書面通知對方。如對方有異議，發生不可抗力情況一方憑其所在國有權機關的認證書豁免責任。

　　第八條仲裁

　　由本合同所產生或與本合同有關的一切糾紛，應盡可能通過雙方談判解決。如雙方不能達成協議，則提交____國對外經濟貿易仲裁機關仲裁。

　　第九條其他條件
